Terms & Conditions

These Terms explain the rules for using MindDrive, including accounts, subscriptions, AI features, user content, app-store billing, regional data storage, and service limits.

These Terms apply when you create an account, install the app, purchase a subscription, or use MindDrive.

English version controls. If MindDrive provides a translation of this document, it is for convenience only. To the fullest extent permitted by applicable law, the English version controls if there is a conflict between versions.

Agreement to these Terms

These Terms & Conditions are a legal agreement between you and MindDrive Inc. They govern your access to and use of MindDrive, including the mobile apps, website, AI features, regional data storage, subscriptions, support, and related services.

By creating an account, installing the app, purchasing a subscription, or using MindDrive, you agree to these Terms. If you do not agree, do not use MindDrive.

What MindDrive is

MindDrive is a private AI journaling, reflection, memory, and personal insight app. MindDrive lets you create journal folders, write entries, review entries, and use AI features to summarize, search, reflect on, and chat with your own content.

MindDrive is not a medical device, therapy service, crisis service, emergency service, diagnosis tool, treatment tool, or substitute for professional advice.

Eligibility and minimum age

You must be at least 18 to use MindDrive.

By using MindDrive, you confirm that:

  • you meet the minimum age requirement;
  • you have authority to agree to these Terms;
  • your use of MindDrive is lawful in your location;
  • any information you provide is accurate and belongs to you or you have the right to provide it.

Accounts and security

You may need an account to use MindDrive. You are responsible for:

  • keeping your account credentials secure;
  • maintaining access to your email or sign-in provider;
  • using strong authentication where available;
  • protecting your device;
  • maintaining the confidentiality of any PIN, recovery codes, or local security settings;
  • all activity under your account unless caused by MindDrive's breach of these Terms or applicable law.

MindDrive may offer security features such as email verification, MFA/TOTP, PIN, biometric app lock, SecureStore, and encryption features. These features reduce risk but do not guarantee absolute security.

Notify us promptly at support@minddrive.io if you suspect unauthorized access to your account.

No emergency, crisis, medical, or therapy use

MindDrive is not designed for emergencies. MindDrive does not provide emergency monitoring, crisis intervention, self-harm intervention, therapy, diagnosis, treatment, medical advice, legal advice, financial advice, or other professional advice.

Do not use MindDrive as your only source of support in a crisis. If you may harm yourself or others, are in danger, or need urgent help, contact local emergency services, a crisis hotline, a qualified professional, or someone you trust.

MindDrive does not promise that journal entries, AI chats, mood analysis, or other content will be reviewed by a human or trigger emergency response.

AI features

MindDrive uses AI to provide features such as:

  • summaries; insights; mood, sentiment, or emotion reflections; tags; search;
  • chat responses; saved personal and folder-level context; cross-chat memory is on by default unless you turn it off in MindDrive chat settings; AI-generated titles;
  • text extraction from images; calendar summaries; sleep summaries; fitness summaries; text-to-speech output.

AI features may require your content, prompts, selected context, and related metadata to be processed by MindDrive servers and AI providers.

AI outputs can be inaccurate, incomplete, biased, outdated, or inappropriate. You are responsible for evaluating AI outputs before relying on them. AI outputs are not professional advice and should not be used to make medical, mental health, legal, financial, employment, insurance, credit, safety, or other high-impact decisions.

Mood, sentiment, emotion, sleep, health, and wellbeing outputs are informational reflections only. They are not diagnoses, treatment recommendations, or clinical assessments.

Your content

You own your journal entries, prompts, images, support messages, and other content you create or submit to MindDrive, subject to any rights others may have in content you provide.

You grant MindDrive a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, display, analyze, transform, create derivative technical outputs from, and otherwise use your content only as needed to provide and operate MindDrive.

This includes using your content only as needed to:

  • operate journaling, review, search, Learn, and memory features;
  • generate AI outputs, semantic search, tags, summaries, insights, OCR results, chat responses, and text-to-speech;
  • process optional health, sleep, fitness, calendar, image, weather, and location-context features;
  • provide support; secure, debug, and maintain the service; comply with law; enforce these Terms.

This license ends when your content is deleted, except to the extent content remains in backups, logs, support records, legal records, subscription records, or provider systems according to the Privacy Policy and applicable law.

MindDrive may provide export tools for entries and saved chats. Exports may include sensitive content and may be saved as Markdown or plain text through your device sharing flow.

You are responsible for safeguarding exported files after they leave MindDrive.

MindDrive does not claim ownership of your journal content.

Privacy

Our Privacy Policy explains how MindDrive collects, uses, discloses, stores, and protects personal information.

By using MindDrive, you acknowledge the Privacy Policy. Where required, we will ask for your consent to specific processing, permissions, or optional features.

Regional data storage and routing

MindDrive may assign your account to a regional data bucket based on the country you confirm during signup. The current supported buckets are North America, United Kingdom, European region, and APAC.

You are responsible for providing accurate country information during signup. MindDrive may block account setup or authenticated use if the selected country, account region, authentication token, backend service, or database route does not match.

Regional routing applies to core MindDrive app data where the feature allows it. It does not mean every service provider, operational log, support tool, app-store process, AI provider, authentication provider, email system, website form, or legal and compliance workflow is located only in that region.

Optional permissions and integrations

MindDrive may request access to device permissions or integrations, including:

  • HealthKit; Health Connect; connected fitness services such as Strava; Spotify listening-history imports; selected Gmail, Google Drive, or YouTube imports; calendar; reminders; camera; photo library; notifications; Face ID or biometrics; microphone where available; weather or location-context features.

These features are optional unless otherwise stated. If you disable or revoke permissions, related features may not work.

You are responsible for ensuring that information you import or provide does not violate another person's privacy, confidentiality, or rights.

Health, sleep, and wellbeing features

MindDrive may let you import or summarize sleep, fitness, and health-related information, such as sleep sessions, sleep stages, heart rate, respiratory rate, heart rate variability, oxygen saturation, time in bed, sleep efficiency, steps, distance, active calories, exercise time, workout sessions, and Strava activity details.

These features are for personal journaling and reflection only. They are not medical devices, treatment tools, or health care services. MindDrive does not verify the accuracy of health data, and device or platform data may be incomplete or inaccurate.

Do not use MindDrive to diagnose, treat, prevent, or manage a disease or condition without consulting a qualified professional.

Acceptable use

You agree not to:

  • use MindDrive unlawfully or deceptively;
  • violate these Terms or applicable law;
  • upload or share content you do not have the right to provide;
  • use MindDrive to harass, threaten, exploit, defame, or harm others;
  • attempt to access another user's account or content;
  • interfere with or disrupt MindDrive;
  • reverse engineer, scrape, crawl, or extract data except as permitted by law;
  • bypass security, rate limits, access controls, or usage restrictions;
  • introduce malware or harmful code;
  • use MindDrive to generate or distribute illegal, harmful, or abusive content;
  • use AI features to make high-impact decisions about people, such as medical, employment, credit, insurance, housing, legal, or safety decisions;
  • use MindDrive in a way that could damage MindDrive, users, service providers, or app-store partners.

MindDrive is a journaling app, and you may write honestly about difficult personal experiences. This section does not prohibit private journaling about your feelings. It does prohibit misuse of the service or use that violates law or harms others.

Subscriptions, billing, renewal, and cancellation

MindDrive may offer paid monthly and annual subscription plans.

Subscription purchases through the iOS app are billed by Apple. Subscription purchases through the Android app are billed by Google Play. RevenueCat may help MindDrive manage subscription entitlements and status.

By purchasing a subscription, you agree that:

  • subscriptions automatically renew unless canceled before the renewal deadline required by Apple or Google;
  • billing is handled by the applicable app store;
  • MindDrive does not directly receive your payment card number;
  • price, taxes, trial terms, renewal date, and billing period are shown by the applicable app store at purchase;
  • you are responsible for reviewing purchase terms before confirming payment;
  • deleting the app does not cancel a subscription;
  • deleting your MindDrive account does not cancel a subscription;
  • canceling a subscription does not automatically delete your MindDrive account;
  • you may continue to have access until the end of the paid billing period unless the app-store rules say otherwise;
  • refunds are controlled by Apple or Google unless MindDrive separately states otherwise in writing.

To cancel, use the subscription management settings in your Apple App Store or Google Play account.

MindDrive may change subscription prices or plans. Price changes will be handled through the applicable app store and applicable law.

Trials and promotions

MindDrive may offer free trials, promotional pricing, or limited-time offers. Trial and promotional terms will be shown at sign-up or purchase.

Unless the offer says otherwise, a trial may convert into a paid subscription if you do not cancel before the trial ends. App-store terms may control trial eligibility, billing, and cancellation.

Account deletion and subscription cancellation are separate

If you delete your MindDrive account, MindDrive will process account deletion according to the Privacy Policy and the account deletion workflow available in the app.

Account deletion does not cancel Apple App Store, Google Play, or RevenueCat subscription records. You must cancel subscriptions through the applicable app store.

Some records may be retained after deletion, such as subscription records, support tickets, legal records, security logs, cancellation feedback, backups, and provider records, as described in the Privacy Policy.

Service availability and changes

MindDrive may change, suspend, limit, or discontinue features at any time, including AI models, memory features, subscription features, integrations, or third-party services.

MindDrive may be unavailable due to maintenance, outages, network issues, third-party failures, security incidents, or other reasons.

We do not guarantee that MindDrive will be uninterrupted, error-free, or available in every location.

Beta, experimental, and AI-dependent features

Some features may be experimental, beta, or dependent on third-party AI systems. These features may change, degrade, produce unexpected outputs, or be discontinued.

Do not rely on beta or AI-dependent features for emergencies, professional advice, clinical assessment, or important decisions.

Third-party services

MindDrive depends on third-party services, which may include:

  • Apple; Google; Firebase; Google Cloud; OpenAI; Google Vertex AI / Gemini; RevenueCat; Strava for optional connected fitness imports; Spotify for optional listening-history imports; Google services for optional Gmail, Google Drive, and YouTube imports; Zoho; Cloudflare; email delivery providers; IP geolocation providers; email validation providers; analytics and diagnostics providers.

Third-party services may have their own terms and policies. MindDrive is not responsible for third-party services except as required by law or expressly stated in these Terms.

App license

MindDrive grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the MindDrive app for your own personal use, subject to these Terms and applicable app-store rules.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from MindDrive except as permitted by law.

MindDrive is licensed, not sold.

MindDrive intellectual property

MindDrive, including the app, software, design, branding, logos, features, algorithms, prompts, workflows, databases, and service infrastructure, is owned by MindDrive Inc. or its licensors.

Except for your content and rights expressly granted to you, MindDrive reserves all rights.

Accessibility and support feedback

Accessibility work for MindDrive is ongoing. We aim to improve website and app usability over time, especially account access, subscriptions, journaling, review, MindDrive chat, settings, support, and legal or account information.

If you encounter an accessibility barrier, contact us at support@minddrive.io. Include your device, operating system, assistive technology if any, the page or app screen where the issue occurred, and what you were trying to do.

We review accessibility feedback as part of product support and prioritize issues that block account access, subscription management, core journaling workflows, support, or access to legal and account information.

Feedback

If you send feedback, suggestions, ideas, or comments, you grant MindDrive a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation. This does not give MindDrive ownership of your journal content.

Termination

You may stop using MindDrive at any time.

MindDrive may suspend or terminate your access if:

  • you violate these Terms;
  • you create risk or legal exposure for MindDrive or others;
  • your account is involved in fraud, abuse, or security issues;
  • required by law or app-store rules;
  • MindDrive discontinues the service or relevant features.

Termination does not cancel app-store subscriptions. You must cancel subscriptions through Apple or Google.

Sections intended to survive termination will survive, including payment obligations, intellectual property, disclaimers, liability limits, indemnity, dispute terms, and provisions relating to retained records.

Disclaimers

MindDrive is provided "as is" and "as available."

To the maximum extent permitted by law, MindDrive disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and error-free operation.

MindDrive does not warrant that:

  • AI outputs will be accurate or useful;
  • mood, sentiment, or emotion analysis will be correct;
  • health, sleep, or fitness summaries will be accurate;
  • journal content will produce any particular insight or outcome;
  • the service will be uninterrupted or error-free;
  • data will never be lost, corrupted, accessed without authorization, or delayed;
  • MindDrive will detect emergencies, self-harm, abuse, or crisis situations.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

Limitation of liability

To the maximum extent permitted by law, MindDrive Inc. and its directors, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business, arising out of or related to MindDrive or these Terms.

To the maximum extent permitted by law, MindDrive's total liability will not exceed the greater of the amounts paid by you for MindDrive in the 12 months before the claim or CAD $100.

Nothing in these Terms limits liability that cannot be limited under applicable law.

Indemnity

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless MindDrive Inc. and its directors, officers, employees, contractors, affiliates, licensors, and service providers from claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising from:

  • your use of MindDrive;
  • your content;
  • your violation of these Terms;
  • your violation of law;
  • your violation of another person's rights;
  • your misuse of AI outputs, health features, or third-party services.

This indemnity does not apply where prohibited by law.

Governing law and disputes

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, excluding conflict-of-law rules, except where your local consumer protection laws require otherwise.

Subject to any mandatory consumer-law rights, disputes will be resolved in the courts located in Toronto, Ontario, Canada.

App-store additional terms

If you downloaded MindDrive from Apple's App Store:

  • these Terms are between you and MindDrive Inc., not Apple;
  • Apple is not responsible for MindDrive or its content;
  • Apple has no obligation to provide maintenance or support for MindDrive;
  • Apple is not responsible for claims, losses, liabilities, damages, costs, or expenses relating to MindDrive, except as required by law;
  • your license to use MindDrive is limited to Apple-branded products you own or control and as permitted by Apple's usage rules;
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you;
  • if Apple's standard EULA applies by default or imposes minimum terms, those terms apply to the extent required.

If you downloaded MindDrive from Google Play:

  • Google is not responsible for MindDrive or its content;
  • Google's payment, refund, subscription, and cancellation rules may apply;
  • you must manage Google Play subscriptions through your Google Play account.

Export and sanctions

You may not use MindDrive if you are barred from using it under applicable export control, sanctions, or trade laws. You agree not to use MindDrive in violation of those laws.

Changes to these Terms

MindDrive may update these Terms from time to time. If changes are material, we will provide notice as required by law, such as through the app, email, website, or app-store update notes.

Your continued use of MindDrive after updated Terms become effective means you accept the updated Terms. If you do not agree, stop using MindDrive and cancel any subscriptions through the applicable app store.
